This Code of Conduct and Business Ethics (“Code”) sets out the principles that guide how we work, make decisions and interact with our colleagues, customers, business partners, suppliers, government authorities, shareholders and the communities we serve.
This Code applies to all directors, officers and employees of TimeTec and its subsidiaries. We also expect consultants, contractors, suppliers, agents, representatives and other business partners acting for or on behalf of TimeTec to uphold standards consistent with this Code.
Everyone covered by this Code is responsible for understanding and following it, exercising sound judgment and seeking guidance whenever the right course of action is unclear.
We comply with all applicable laws, regulations and regulatory requirements in the countries and markets where we operate. These include requirements relating to anti-corruption, competition, employment, taxation, data protection, intellectual property, health and safety, and environmental responsibility.
Where this Code sets a higher standard than local practice, we follow this Code to the extent permitted by law. No commercial objective, instruction or business opportunity justifies unlawful or unethical conduct.
We conduct business truthfully, fairly and transparently. We do not misrepresent our products, services, capabilities, prices, performance or contractual commitments. Information provided to customers, partners, authorities and other stakeholders must be accurate and not deliberately misleading.
We honour our commitments and take responsibility for our decisions and actions. Employees must never conceal misconduct, falsify information or assist another person in acting dishonestly.
TimeTec has zero tolerance for bribery, corruption, kickbacks, extortion or any other improper inducement.
No person acting for or on behalf of TimeTec may directly or indirectly offer, promise, give, request or accept anything of value in order to obtain an improper business advantage, influence a decision or reward improper conduct. This prohibition applies to dealings with both public officials and private-sector parties, including transactions conducted through agents, consultants or other intermediaries.
Facilitation payments are not permitted, except where a payment is necessary to protect a person from an immediate threat to health or safety. Any such payment must be reported promptly and recorded accurately.
Reasonable and appropriate business courtesies may be offered or accepted only when they are lawful, infrequent, modest in value, transparent and connected to a legitimate business purpose.
Gifts, hospitality or entertainment must never be intended—or reasonably perceived—as an attempt to improperly influence a decision or create an obligation. Cash, cash equivalents and personal benefits of an improper nature must not be offered or accepted.
Particular care must be taken when dealing with government officials, public-sector entities, tender exercises and procurement decisions. We must avoid situations in which personal interests interfere, or appear to interfere, with TimeTec’s interests or our ability to make objective business decisions.
Potential conflicts may arise from outside employment, financial interests, family or personal relationships, directorships, related-party transactions, personal business opportunities, or the appointment of suppliers and service providers.
Actual, potential or perceived conflicts of interest must be disclosed promptly to the appropriate manager or designated company representative. Disclosure does not necessarily mean that an activity is prohibited; it allows the matter to be reviewed and managed fairly and transparently.
We compete vigorously but fairly. We do not participate in price-fixing, bid-rigging, market allocation, improper exchanges of competitively sensitive information or other conduct that restricts fair competition.
We deal honestly with customers, suppliers, competitors and other business partners. We select suppliers and partners using objective considerations such as capability, quality, security, reliability, price, service and ethical standards. Procurement and tender processes must be conducted with integrity and without favouritism or undisclosed personal benefit.
We obtain competitive information only through lawful and ethical means and respect the confidential information and intellectual property of others.
We protect confidential, proprietary and commercially sensitive information belonging to TimeTec, our employees, customers, users and business partners. Such information may be used only for authorised business purposes and disclosed only to persons who have a legitimate need to receive it.
We collect, use, retain, disclose and dispose of personal data responsibly and in accordance with applicable data-protection laws and our privacy and security requirements. Everyone who handles personal data must take reasonable steps to prevent unauthorised access, misuse, alteration, loss or disclosure.
The obligation to protect confidential information continues after employment or a business relationship with TimeTec ends.
As a technology organisation, we regard information security, system integrity and responsible innovation as fundamental obligations.
Employees and authorised users must safeguard accounts, passwords, devices, networks, source code, systems and data against loss, unauthorised access and cyber threats. Suspected security incidents, vulnerabilities, data breaches or misuse of systems must be reported immediately through the appropriate channels.
Technology, including artificial intelligence, must be used lawfully, securely and responsibly. Confidential or personal information must not be entered into unauthorised systems or tools. Human accountability remains essential for decisions that may materially affect customers, employees or other stakeholders.
We treat every person with dignity, fairness and respect. TimeTec does not tolerate discrimination, harassment, bullying, intimidation, violence or retaliation.
Employment-related decisions are based on legitimate business considerations such as qualifications, capability, performance and experience, without unlawful discrimination. We support equal opportunity and value different perspectives and backgrounds.
We are committed to providing a safe and healthy working environment. Employees must follow applicable health and safety requirements, use equipment responsibly, report hazards promptly and avoid conduct that may endanger themselves or others.
We respect internationally recognised human rights and support fair, lawful and humane working conditions. We do not tolerate forced labour, child labour, human trafficking, abusive working practices or unlawful workplace discrimination within our operations or supply chain.
We expect our suppliers, contractors and business partners to respect workers’ rights, comply with applicable employment laws and provide safe working conditions.
TimeTec’s assets—including funds, equipment, products, software, data, intellectual property, working time and business opportunities—must be protected and used responsibly for legitimate business purposes.
Theft, fraud, unauthorised use, deliberate damage, waste or misappropriation of company assets is prohibited. Limited personal use of company resources may be permitted where reasonable, lawful, secure and consistent with company policies, but it must not interfere with work responsibilities or expose TimeTec to risk.
We maintain complete, accurate and timely business and financial records. Transactions, expenses, payments, approvals, contracts and supporting documents must reflect their true nature and comply with applicable accounting standards, laws and internal controls.
No person may create false or misleading entries, maintain undisclosed accounts, conceal transactions, manipulate results or destroy records improperly. Employees must cooperate honestly with authorised audits, reviews and investigations.
Only authorised persons may speak on behalf of TimeTec or disclose non-public company information. Public statements, marketing materials and communications with the media, investors or regulators must be accurate, responsible and properly authorised.
When using social media, employees should make clear when they are expressing personal views, protect confidential information and avoid content that could reasonably be regarded as unlawful, abusive or falsely presented as TimeTec’s official position.
We seek to operate responsibly, use resources efficiently and reduce adverse environmental impacts where practical. We encourage the responsible design, deployment and disposal of technology and equipment.
We aim to contribute positively to the communities in which we operate through ethical business practices, useful innovation and responsible corporate citizenship.
Anyone who becomes aware of suspected unlawful, unethical or improper conduct is encouraged to raise the concern promptly through the available reporting channels, such as a manager, Human Resources, senior management or another channel designated by TimeTec.
Reports should be made honestly and in good faith. TimeTec will treat concerns seriously, review them fairly and maintain confidentiality as far as reasonably possible, subject to legal and investigative requirements.
TimeTec prohibits retaliation against anyone who raises a genuine concern, seeks advice or participates in an investigation in good faith. Deliberately making a false or malicious allegation is itself inconsistent with this Code.
Compliance with this Code is a condition of employment and of acting for or on behalf of TimeTec. Breaches may result in corrective or disciplinary action, termination of employment or business relationships, and referral to the relevant authorities where appropriate.
Managers have an additional responsibility to lead by example, promote open communication, respond appropriately to concerns and never instruct or pressure another person to act contrary to this Code.
This Code cannot address every situation. When facing a difficult decision, we should ask whether the proposed action is lawful, honest, fair, consistent with TimeTec’s values and capable of withstanding public scrutiny. If the answer is unclear, guidance should be sought before acting.
TimeTec may review and update this Code periodically to reflect changes in our business, legal obligations and recognised standards of responsible corporate conduct.
